The recent merger between Equity Residential and AvalonBay is making waves in the real estate world. This all-stock deal will create a giant company, worth around $52 billion, with more than 180,000 rental apartments. Benjamin Schall, the CEO of AvalonBay, will lead the new entity, while Equity Residential’s CEO, Mark Parrell, will retire after the deal is finalized.

Allan Swaringen, CEO of JLL Income Property Trust, called the merger “unbelievable.” He noted that both companies’ stock prices were below their net asset values, making them prime candidates for a merger. This strategic move may serve as a defense against potential privatization, suggesting that together, they are “too big to be bought.”

Swaringen also pointed out that the merger could help tackle the high costs of technology that residents now expect, such as online leasing and fast internet. Consolidation may lead to lower expenses and improved services.

David Auerbach of Hoya Capital Real Estate sees this merger as a sign of more consolidation to come in the real estate investment trust (REIT) sector. With many apartment REITs in existence and ongoing challenges like slow rent growth, Auerbach believes the industry’s ripe for more megadeals.

Despite the merger’s potential impact, neither expert expects significant changes in rental prices. The market remains highly diversified, offering renters plenty of choices.

Moreover, the size of the merger could attract regulatory scrutiny, especially regarding housing affordability. Alexander Goldfarb from Piper Sandler noted that while there are no antitrust concerns, the merger will still face political challenges. He emphasized that proving the new company can improve profitability beyond initial efficiencies is crucial.
